1. Acceptance of Terms
Welcome to Octate Software L.L.C. ("we," "us," or "our"). By accessing or using our Enterprise Resource Planning (ERP) platform (the "Service"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please refrain from using the Service.
2. Description of Service
Octate Software L.L.C. provides octate a SaaS ERP platform that encompasses various modules, including but not limited to Finance, Accounting, Customer Records, Supplier Records, Inventory Item Data, Bank Information, Customer Relationship Management (CRM), Data Analytics, and Financial Reporting.
3. User Accounts
- To access the Service, you are required to have an active account.
- You agree to provide accurate and complete information when registering your account.
- You are responsible for keeping your account credentials private and confidential.
- You are accountable for all activities that take place under your account.
4. User Responsibilities
- You agree to use the Service in accordance with all applicable laws and regulations, including those of the United Arab Emirates (UAE) and the General Data Protection Regulation (GDPR).
- You agree not to use the Service for any unlawful or unauthorized purpose.
- You agree not to attempt to gain unauthorized access to the Service or its systems.
- You are responsible for ensuring the accuracy and legality of the data you input into the ERP system.
5. Payment Terms
- The fees for the Service will be outlined on our website or in your subscription agreement.
- Payments are due based on the billing cycle agreed upon.
- We reserve the right to modify our fees at any time and will provide you with reasonable notice of any changes.
- All payment processing will be managed by our third-party payment processor.
6. Intellectual Property
- Octate Software L.L.C. retains all rights, titles, and interests in the Service, including all intellectual property rights.
- You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
- All copyrights related to the ERP system are owned by Octate Software L.L.C.
- You may not reproduce, modify, or distribute any part of the Service without our written consent.
7. Data Security and Privacy
- We will implement industry-standard security measures to protect your data, as outlined in our Privacy Policy.
- We will comply with the General Data Protection Regulation (GDPR) and applicable data protection laws in the United Arab Emirates (UAE).
- Data retention will be managed in accordance with the procedures outlined in our Data Retention Policy.
8. Service Level Agreement (SLA)
- We guarantee a system uptime of 99.9% per month, excluding scheduled maintenance.
- We will respond to support inquiries within 4 hours or up to 1 business day for non-urgent inquiries and within 1 to 2 hours for critical issues.
- Backup and recovery processes will be conducted in accordance with our stated policies.
9. Limitation of Liability
- The Service is provided "as is" and "as available," without any warranties of any kind.
- Octate Software L.L.C. shall not be liable for any indirect, incidental, consequential, or punitive damages.
- Our total liability is limited to the fees you have paid in the 12 months preceding any claim.
- Force Majeure events will release both parties from liability.
10. Dispute Resolution
Any disputes arising from or related to these Terms shall be resolved through arbitration in Dubai, in accordance with the rules of the Dubai International Arbitration Centre (DIAC) or any other relevant arbitration institution in the United Arab Emirates (UAE).
11. Termination
- We may suspend or terminate your access to the Service for any reason, including a violation of these Terms.
- You have the right to terminate your account at any time.
- Upon termination, your data may either be retained or deleted in accordance with our data retention policies.
12. Changes to Terms
- We reserve the right to update these Terms at any time.
- We will provide you with reasonable notice of any significant changes. Continued use of the service after such changes will be deemed acceptance of those changes.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of General Data Protection Regulation (GDPR) and applicable data protection laws in the United Arab Emirates (UAE).
